These Terms & Conditions govern your use of the Pre Recorded Live Stream service. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using the Pre Recorded Live Stream service ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Pre Recorded Live Stream ("Company", "we", "us", or "our").

Important: These Terms may be updated periodically. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Service Description

Pre Recorded Live Stream provides cloud-based simulive services that enable users to:

  • Upload and store video content in secure cloud storage
  • Schedule pre-recorded videos to stream as live events
  • Multistream to YouTube, Facebook, Twitch and other platforms
  • Monitor stream performance and health
  • Manage multiple concurrent streams

The Service operates entirely in the cloud, eliminating the need for users to maintain local computers or servers for continuous streaming operations.

3. User Responsibilities

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Acceptable Use

You agree not to use the Service for any unlawful purposes or to transmit any content that:

  • Violates any applicable laws or regulations
  • Infringes on intellectual property rights of others
  • Contains harmful, offensive, or inappropriate material
  • Promotes violence, hate, or discrimination
  • Contains malware or harmful code
  • Violates platform terms of service (e.g., YouTube's policies)

Platform Compliance

You are responsible for ensuring compliance with the terms of service of the platforms you stream to (YouTube, Twitch, etc.). We are not responsible for platform policy violations or account suspensions resulting from your use of the Service.

4. Content Rights & Licensing

Your Content

You retain all rights to your content uploaded to our Service. By uploading content, you grant us a limited license to:

  • Store and process your content in our cloud infrastructure
  • Transcode and stream your content to designated platforms
  • Create temporary copies for backup and redundancy
  • Monitor stream quality and performance

Content Ownership

We do not claim ownership of your content. You are solely responsible for ensuring you have the necessary rights to upload and stream all content through our Service.

Content Storage

Your content is stored securely in our cloud infrastructure. We maintain regular backups but recommend you keep local copies of all important content. We are not liable for loss of content due to user error, account deletion, or other factors beyond our control.

5. Billing & Payment

Pricing Structure

Our pricing is based on a per-stream model:

  • Monthly billing: $16 per stream
  • Yearly billing: $14 per stream (billed annually, 13% savings)
  • Each stream includes 100 GB of cloud storage
  • Additional storage available at $5 per 50 GB

Payment Terms

  • Payments are processed securely through our payment partners
  • Subscription fees are billed in advance
  • Failed payments may result in service suspension
  • All fees are non-refundable except as required by law
  • Price changes will be communicated 30 days in advance

Billing Disputes

If you believe there is an error in your billing, you must contact us within 60 days of the charge. We will investigate all legitimate billing disputes and resolve them promptly.

6. Service Availability

Uptime Guarantee

We strive for 99.9% uptime for our core streaming infrastructure. However, we do not guarantee uninterrupted service and are not liable for:

  • Scheduled maintenance periods
  • Third-party platform outages (YouTube, etc.)
  • Internet connectivity issues
  • Force majeure events

Service Level Agreement

Our SLA includes automatic failover systems and health monitoring. If service downtime exceeds our SLA thresholds, you may be eligible for service credits.

Maintenance

We perform regular maintenance to ensure optimal performance. Maintenance windows are typically scheduled during low-usage periods and communicated in advance when possible.

7. DMCA Policy

Digital Millennium Copyright Act

We respect the intellectual property rights of others and respond to clear notices of alleged copyright infringement. If you believe your copyrighted work has been infringed through our Service, please send us a DMCA takedown notice.

DMCA Notice Requirements

Your DMCA notice must include:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing material
  • Your contact information
  • A statement that you have a good faith belief that use is unauthorized
  • A statement that the information is accurate and you are authorized to act
  • Physical or electronic signature

Note: We will terminate accounts of users who are repeat copyright infringers in accordance with DMCA requirements.

8. Limitation of Liability

Service Limitations

The Service is provided "as is" without warranties of any kind. We disclaim all warranties, whether express or implied, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Continuous or uninterrupted service availability
  • Accuracy or reliability of service performance

Liability Cap

In no event shall our total liability to you for any claims arising out of or relating to these Terms or the Service exceed the amount you paid us in the 12 months preceding the claim.

Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pre Recorded Live Stream, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations
  • Any content you upload or stream through our Service

10. Termination

Termination by User

You may terminate your account at any time through your dashboard or by contacting support. Termination will take effect at the end of your current billing period.

Termination by Company

We may terminate or suspend your account immediately if you:

  • Violate these Terms
  • Fail to pay for services
  • Engage in fraudulent or illegal activities
  • Repeatedly infringe copyright
  • Disrupt service for other users

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will provide reasonable assistance in exporting your content, but we are not obligated to retain your data after termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in the United States, and you waive any right to participate in class action lawsuits.

Dispute Resolution

Before initiating arbitration, you agree to first contact us to attempt to resolve the dispute informally. If arbitration is necessary, it shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA).
